These terms govern all work carried out by T&Y Website Engineers for clients. By accepting a quote or paying a deposit, you agree to these terms. We've written them in plain English so they're actually useful to both sides.

1. Who these terms apply to

"T&Y", "we", "us" refers to T&Y Website Engineers, a freelance web design and development studio based in Cape Town, South Africa. "Client", "you" refers to the individual or business that engages our services. These terms apply to all projects unless a separate written agreement is signed by both parties, in which case that agreement takes precedence.

2. Quotes and project scope

All quotes are prepared based on the information you provide at the time of enquiry. A quote is valid for 30 days from the date it is issued. After 30 days, we reserve the right to requote based on current pricing and availability.

A quote covers the work explicitly described in it. If the scope changes after a quote is accepted — additional pages, new features, significant redesigns, or extra rounds of revisions beyond what is included — we will provide a revised quote for the additional work before proceeding. We will not proceed with out-of-scope work without written agreement on the additional cost.

3. Payment

We require a 50% deposit before any work begins. The remaining 50% is due before the final site is handed over or made live. No work will commence until the deposit is received, and no final files or access credentials will be transferred until the balance is paid in full.

Payment is accepted via EFT (electronic funds transfer) to our South African bank account. Details will be provided on invoice. Invoices are due within 7 days of issue unless otherwise agreed in writing.

Overdue balances accrue interest at 2% per month from the due date. We reserve the right to pause work on projects with outstanding invoices.

4. Revisions

Each project includes a set number of revision rounds as specified in the quote. A revision round means a single consolidated set of feedback submitted at one time. We apply all changes from that feedback in one pass.

Revisions do not include: changing the design direction after it has been approved, adding pages or features not in the original scope, or redoing work that was completed to the agreed brief. These are treated as additional scope and quoted separately.

We ask that revision feedback be submitted in writing so there is a clear record of what was requested and what was delivered.

5. Client responsibilities

To deliver your project on time, we need certain things from you. You agree to:

  • Provide all content (text, images, branding) required for the project in a timely manner
  • Review work and provide feedback within the timeframes we agree on
  • Provide one consolidated set of feedback per revision round — not multiple separate messages
  • Ensure that any content you supply (images, logos, text) is either owned by you or properly licensed for use
  • Designate one point of contact on your side to avoid conflicting instructions

If a project stalls for more than 30 days due to delays on your side (no content, no feedback, no response), we reserve the right to invoice for work completed to date and close the project. Should you wish to restart, a new quote will be issued.

6. Timelines

Timelines quoted are estimates based on normal project flow and assume timely feedback and content from you. They are not legally binding deadlines unless explicitly agreed in writing as fixed delivery dates. We will always keep you informed if a timeline shifts and will communicate the reason.

7. Intellectual property

All work created by T&Y Website Engineers remains our intellectual property until payment is received in full. On receipt of full payment, all rights to the completed design and code transfer to you.

We retain the right to display completed work in our portfolio unless you request in writing that we do not. We will always ask before including any confidential or sensitive business information.

Any third-party assets used in your project (stock images, icon libraries, fonts) are subject to their own licenses. We will only use assets that are appropriately licensed for commercial use, and we will inform you of any license requirements that affect how you can use them.

8. Hosting and domain

Unless otherwise agreed, hosting and domain registration are not included in our quotes. We can recommend hosting providers and assist with setup, but the hosting account and domain will be registered in your name and billed directly to you by the provider.

We are not responsible for hosting outages, domain expiry, or any service interruptions caused by third-party providers after the site has been handed over.

9. Ongoing maintenance

Our quotes cover design and build only. We do not provide ongoing maintenance, updates, or support unless a separate maintenance agreement is in place. After handoff, responsibility for keeping the site updated and secure passes to you.

10. Limitation of liability

We take our work seriously and stand behind what we build. However, our total liability to you for any claim arising from our services is limited to the amount you paid us for the specific project in question.

We are not liable for:

  • Loss of revenue, profits, or business opportunity resulting from delays, downtime, or errors on your website
  • Any damage caused by third-party services (hosting, payment gateways, email providers)
  • Content you supply that infringes a third party's rights
  • Any issues arising after handoff if the site has been modified by you or another party

11. Warranties

We warrant that work delivered by us will be original, completed with reasonable skill and care, and fit for the purpose described in the project brief. We do not warrant that the website will generate any particular level of traffic, leads, or revenue — that depends on many factors outside our control.

We do not guarantee search engine rankings. SEO basics are included in all builds, but rankings are determined by search engines, not by us.

12. Cancellation

Either party may cancel a project with written notice. If you cancel:

  • Before work begins: your deposit is refunded in full.
  • After work has begun: you are invoiced for work completed to the date of cancellation. If that amount exceeds the deposit, the balance is due. If it is less, we will refund the difference.

If we cancel due to circumstances on our side, we will refund any amounts paid for work not yet completed.

13. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the project. We will not disclose your business details, pricing, or project specifics to third parties without your consent. We ask the same courtesy in return.

14. Governing law

These terms are governed by the laws of the Republic of South Africa. Any disputes that cannot be resolved between the parties directly will be referred to mediation before any legal proceedings are initiated. If mediation fails, disputes will be resolved in the South African courts having jurisdiction.

15. Changes to these terms

We may update these terms from time to time. The version in effect at the time a project quote is accepted governs that project. We will not apply new terms retroactively to work already in progress.
